    SunriseXR - Augmented Reality Business Card Service

    1. Sunrise International (D/B/A SunriseXR) is a media service provider specializing in VR/AR marketing services. You, as a representative of your organization (hereafter, “PARTY B” or “Client”) wish to retain Sunrise’s services to create and host a mobile Augmented Reality experience that launches from a business card or piece of printed material. By registering for and utilizing Sunrise’s services, you warrant that you consent to the following terms and conditions and are authorized to do so on behalf of your organization.

    2. Services. Sunrise shall perform the following services. Sunrise’s obligations for the provision of the above-listed service include and are expressly limited to:

    1. Sunrise will create an Augmented Reality (hereafter, “AR”) business card design on client’s behalf that will allow users with a smartphone scan a QR code and see a digital projection layered on top of one side of the business card with additional information, links, and a photo or video selected by client.

    2. Sunrise will provide a graphic design for one side of a business card for the Client that will enable the AR projection and will include the QR code to launch the AR experience, according to the service package purchased by the client.

    3. The Client will provide Sunrise with all text, video, photo, and URL content it wishes to include in the AR experience. Sunrise will advise client as to the suggested maximum amounts of text to be included. Parties understand that including large amounts of text in the AR experience will result in the text size being reduced.

    4. The AR Experience will have 3-D plane detection functionalities, so that a smartphone will be able to recognize the card design image and project the AR content on top of it and so that the content will move if the user holds the card at different angles or in different positions.

    5. The AR experience will be designed for smartphone use and will be web-based. Users will need to scan a QR code to launch the experience, and they will need to allow their default mobile internet browser to use the device’s camera to view the AR experience.

    6. This service does not include the printing of any physical cards.

    1. Service Tiers. Sunrise will perform the following AR experience design services:

    1. Basic Template Design

      1. The Client will provide Sunrise with the designed image that it wishes to use as the launching image for the AR experience and will provide all of the required links and content to be included in the AR experience to Sunrise upon registration for the service. This service does not include design of the image; the Client will provide this image directly to Sunrise. Parties acknowledge that the AR technology operates using image recognition algorithms, and thus the performance of the experience will be optimal when the design image has contrasting colors.

      2. The Client may select from Sunrise’s existing library of existing AR experience structures. Deviations from Sunrise’s AR experience structures are not permitted, but the Client will be able to provide its desired link, text, and media to be included in the template AR experience structure.

      3. This service does not include any modifications to the card content once submitted by the Client. Changes to the card content will be considered a new design order.

      4. The standard processing time for the creation of AR experience is 5 business days. Federal US bank holidays and weekends are not considered business days.

      5. This service includes 150 streams (defined as individual user sessions) for each month that the client subscribes to the service.

      6. The setup cost to create the card and AR experience design is a single payment of $75. Payment will be due immediately upon the placement of a work order. Sunrise will not be obligated to launch the AR experience or provide the card design until the payment for the setup fee is completed.

      7. In addition to the setup fee as described above, the Client agrees to pay a subscription fee of $15 per month to maintain the AR experience service. The first subscription fee payment will be due to Sunrise once the AR experience structure preview has been provided, and the fee will recur on a monthly basis. Upon the payment of the subscription service each month, the client will be credited with an additional 150 streams.

      8. Analytics reports are not included in this service.

      9. Unused streams roll over between service months during the subscription period.

      10. If the Client exceeds its stream allowance in any given month, the Client’s subscription will be automatically upgraded to the premium subscription. The premium subscription fee is $45 per month to maintain the AR experience service and will include 1,000 streams per month.

      11. Sunrise will notify the Client when it reaches 80% of its stream limit in a given subscription cycle.

    2. Advanced Template Design:

      1. Sunrise will design a customized image that will trigger the AR experience; this image is typically included on the backside of a business card. The Client will communicate any graphic design rules or requirements such as color scheme and fonts to Sunrise in advance prior to the start of development. Client will have the right to request reasonable modifications to the design until it approves the design, and Sunrise will advise client as to whether any client-provided edits or design requirements will have an effect on the performance of the AR experience. Parties acknowledge that the AR technology operates using image recognition algorithms, and thus the performance of the experience will be optimal when the design image has contrasting colors.

      2. Sunrise will design the AR projection interface using a template structure, according to client instructions as to the content and color scheme to be used in the AR digital projection structure. The client will have the option to provide a video with audio or a photo with audio which will appear at the top of the business card. The Client will have the option of providing up to 4 links to be included as icons at the bottom of the business card. The Client will have the option of providing up to 4 menu buttons which, if pressed, will display additional information or may link to a web page, and these menu items will be included on the right side of the business card. Deviations from this standard structure of video at the top, menu on the right, and links at the bottom are not permitted.

      3. The standard processing time for the creation of the graphical design and the AR experience is 15 business days. Federal US bank holidays and weekends are not considered business days.

      4. This service includes 1,000 streams (defined as individual user sessions) for each month that the client subscribes to the service.

      5. The setup cost to create the card and AR experience design is a single payment of $1,000. Payment will be due within 14 calendar days of the placement of a work order. Sunrise will not be obligated to launch the AR experience or provide the card design until the payment for the setup fee is completed.

      6. In addition to the setup fee as described above, the Client agrees to pay a subscription fee of $45 per month to maintain the AR experience service. The first subscription fee payment will be due to Sunrise once the card design has been provided, and the fee will recur on a monthly basis. Upon the payment of the subscription service each month, the client will be credited with an additional 1,000 streams.

      7. The Client may request an analytics report from Sunrise at any time which will indicate metrics for the number of scans and clicks on particular objects, as well as the number of streams remaining in the Client’s monthly allowance.

      8. Unused streams roll over between service months during the subscription period.

      9. The Client may purchase additional streams for $25 per 1,000 streams at any time during the subscription period.

      10. Sunrise will notify the Client when it reaches 80% of its stream limit in a given subscription cycle.

    3. Custom Template Design:

      1. Sunrise will design a customized image that will trigger the AR experience; this image is typically included on the backside of a business card. The Client will communicate any graphic design rules or requirements such as color scheme and fonts to Sunrise in advance prior to the start of development. Client will have the right to request reasonable modifications to the design until it approves the design, and Sunrise will advise client as to whether any client-provided edits or design requirements will have an effect on the performance of the AR experience. Parties acknowledge that the AR technology operates using image recognition algorithms, and thus the performance of the experience will be optimal when the design image has contrasting colors.

      2. Sunrise will design the AR projection interface using a customized structure, according to client instructions as to the layout, content, and color scheme to be used in the AR digital projection structure. The Client may choose to include photo, video, text, or links to the top, bottom, left, or right of the business card. Sunrise will advise client as to whether any client-provided edits or layout requirements will have an effect on the performance of the AR experience. The Client may also request that Sunrise design and create a customized animation to be included in the AR experience. An animation is defined as a drawn or a photorealistic digital object which either remains still or performs one single repeating motion, such as waving or dancing.

      3. The standard processing time for the creation of the graphical design and the AR experience is 30 business days. Federal US bank holidays and weekends are not considered business days.

      4. This service includes 1,000 streams (defined as individual user sessions) for each month that the client subscribes to the service.

      5. The setup cost to create the card and AR experience design is a single payment of $3,000. Payment will be due within 14 calendar days of the placement of a work order. Sunrise will not be obligated to launch the AR experience or provide the card design until the payment for the setup fee is completed.

      6. In addition to the setup fee as described above, the Client agrees to pay a subscription fee of $45 per month to maintain the AR experience service. The first subscription fee payment will be due to Sunrise once the card design has been provided, and the fee will recur on a monthly basis.       9. The Client may purchase additional streams for $25 per 1,000 streams at any time during the subscription period.

    1. Additional Optional Services. Sunrise shall perform the following services. Sunrise’s obligations for the provision of the above-listed service include and are expressly limited to:

      1. Additional Card Designs. If the Client maintains an active subscription and has purchased the advanced or custom design package for one business card, the Client may request for Sunrise to create an additional business card design using the same AR Experience structure, Sunrise will create the additional design and AR Experience. The setup fee for this service will be $500 for every new card to be developed. Once the new design or designs have been provided to the Client, the Client will be enrolled in an additional monthly subscription of $45 per month for every additional card design requested and delivered. Each card produced for the Client will be allocated 1,000 streams per month. Streams are not transferable between cards. Minor changes to text or links, or the use of a different video in the additional card are permitted. Requests for changes to the AR Experience structure and layout, or more than 100 words of text changes will be considered a new design service and will have the same cost as a new design as stated in Section 2 above.

      2. Green Screen Filming. If the client requests for Sunrise to film video to be included in the business card, Sunrise will send a videographer to capture the footage using a green screen background. client will provide a location for filming. Sunrise will be responsible for the cost of the green screen background, video cameras, microphones, travel, and accommodation for the videographer. The cost of this service is $3,000.

      3. Post-Launch Modifications. Once the graphic design of the business card has been approved by the client, any requests by client to change the graphic design of the card will carry an extra fee. Once the AR experience structure has been approved by the client, any requests by the client to change the structure of the AR Experience will carry an extra fee. Depending on the nature of the client’s modifications, the total cost of modifying the graphic design and/or AR Experience structure after client approval may be equal to the cost of creating a new design, but it will not exceed the cost of a completely new design.

    2. Termination and Refunds.

      1. Once the AR experience has been launched and the Client subscribes to the hosting service, the Client may terminate its subscription with 3 business days’ prior notice. Service will be maintained until the last day of the billing cycle for which the Client has paid subscription fees, and Sunrise will refrain from charging the Client any subscription fees that would be due after 3 business days following its notification of termination. The AR experience will be deactivated on the day after the end of the last paid billing cycle. The Client may re-subscribe at a later date as long as it re-subscribes within 90 days of the initial termination. Refunds are not offered for unused days in a subscription billing cycle.

      2. Sunrise reserves the right to terminate service if the Client fails to pay for setup or subscription fees. The Client will be given a 30 day grace period, and thereafter, Sunrise reserves the right to terminate the service.

      3. For the basic design service, If Sunrise does not provide the AR experience to the Client within the production times stated above, Sunrise will refund the setup fee to the Client. Sunrise will not be responsible for production delays resulting from the Client’s failure to provide required information when placing the work order.

      4. For advanced and custom design services, if Sunrise does not provide the initial card design and AR experience for review within the production times, Sunrise will refund the setup fee to the Client. If the Client is not satisfied with the card design or AR experience provided after three rounds of revisions, the Client may request a 50% refund for the setup costs. Sunrise will not be responsible for production delays resulting from the Client’s failure to provide required information when placing the work order.

      5. If the Client is dissatisfied with the technical performance of the AR experience, the Client may request a refund of one month of its paid subscription fees.

      6. Refunds are not provided for setup fees after the AR experience has been completed and approved by the Client.

      7. Refunds are not provided for the cost of printing business cards.

      8. Refunds will be processed within 30 days of any qualifying request for a refund.

    3. Sunrise reserves the right to modify these terms and conditions and the associated subscription fees. Sunrise will provide 90 days’ prior written notice of any changes in the terms and conditions or related fees.

    4. All notices and communications relating to the work order, changes in terms and conditions, or billing matters will be sent via email to the contact email address provided by the Client when placing the order.

    5. Ownership. The Client will maintain complete ownership of the text, photos, and videos provided by client to Sunrise in the course of the fulfillment of this agreement. The Client will maintain complete ownership of the graphic design created by Sunrise on behalf of the Client. Sunrise shall retain full ownership of the AR Experience source code. In no event whatsoever will Sunrise be required to provide any source code or proprietary information about its platforms to the Client or any of its affiliates.
